These Terms and Conditions ("Terms") govern your access to and use of the website, software platforms, and professional services provided by Veritas Global Technologies Ltd ("Veritas Global," "we," "us," or "our"). By accessing or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms and all applicable laws. If you do not agree, please discontinue use immediately.

By using our services you represent that you are at least 18 years of age (or the legal age of contractual capacity in your jurisdiction) and have full authority to enter into these Terms. Where you accept on behalf of a business or other legal entity, you warrant that you have the authority to bind that entity, and all references to "you" in these Terms shall refer to that entity.

Veritas Global provides enterprise technology services including custom software engineering, SaaS platform development, AI and data integration, cloud infrastructure management, and our flagship NexHRM workforce management platform. The precise scope, deliverables, milestones, and fees for each engagement are set out in a separate Statement of Work, Order Form, or Project Agreement ("Order"), which forms part of and is governed by these Terms.

3.1 Service Availability

We apply commercially reasonable efforts to keep hosted services operational and performant. Scheduled maintenance windows and planned downtime will be communicated in advance where practicable. We do not guarantee uninterrupted availability.

3.2 Third-Party Integrations

Certain services may connect with or rely on third-party platforms. Your use of those third-party components may be subject to additional terms imposed by the respective providers, for which Veritas Global bears no responsibility.

You agree not to — and will not authorise any third party to — use our services to:

• Engage in or facilitate any unlawful activity;
• Attempt to gain unauthorised access to our systems, data, or other clients' accounts;
• Reverse-engineer, decompile, or disassemble any software we provide, except to the extent expressly permitted by applicable law;
• Introduce malicious code, viruses, or disruptive data;
• Interfere with or degrade the performance or integrity of our platforms or the experience of other users.

4.1 Acceptable Use

All users must comply with applicable Nigerian law, international regulations, and any industry-specific compliance requirements relevant to their use case. Veritas Global reserves the right to suspend or terminate access for any account that breaches these restrictions or engages in abusive or harmful behaviour.

All intellectual property rights in our website, platforms, software, documentation, trademarks, and published content — including NexHRM — remain the sole property of Veritas Global Technologies Ltd or our licensors. No rights are transferred to you except as expressly set out in these Terms or in a signed Order.

5.1 Your Materials

You retain ownership of all data, content, and materials you provide to us ("Client Materials"). By sharing them you grant Veritas Global a limited, non-exclusive licence to use Client Materials solely for the purpose of delivering the agreed services.

5.2 Project Deliverables

Ownership of custom deliverables will be governed by the applicable Order. Unless an Order expressly assigns full intellectual property to you, Veritas Global retains ownership of underlying proprietary frameworks, reusable libraries, and tooling, and grants you a licence to use those components as incorporated in the deliverable.

Fees, billing schedules, and payment methods are specified in each Order. Unless an Order states otherwise, invoices are due within thirty (30) days of issue. Overdue payments may accrue interest and may result in suspension of services until settlement.

6.1 Taxes

All fees are exclusive of applicable taxes, levies, or duties. You are responsible for all taxes arising from your engagement with Veritas Global, except for taxes assessed on our net income.

6.2 Refunds

Refund eligibility and procedures are governed by the relevant Order or our published refund policy applicable at the time of purchase.

Where account registration is required, you must provide accurate, current information and keep it up to date. You are solely responsible for all activity conducted under your account credentials and must safeguard your login details. Notify us immediately at hello@veritasglobaltech.com.ng if you suspect any unauthorised access to your account.

Each party agrees to hold the other's confidential information in strict confidence and to use it solely to the extent necessary to perform or receive the services. Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party prior to disclosure, was independently developed, or is required to be disclosed by law — provided the disclosing party is given prompt prior notice where legally permissible.

9.1 Veritas Global Warranty

Veritas Global warrants that it will deliver professional services in a competent and workmanlike manner consistent with recognised industry standards. For hosted platforms, we warrant that we will apply reasonable technical and organisational measures to protect the security and integrity of your data.

9.2 Disclaimer

Except for the limited warranty above, all services are provided "as is" and "as available" without warranties of any kind — express or implied — including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be error-free, uninterrupted, or free from security vulnerabilities.

To the fullest extent permitted by applicable law, Veritas Global shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption, arising from or related to these Terms or any Order, regardless of the form of action or the theory of liability. In any event, our total aggregate liability arising from a specific Order shall not exceed the total fees paid by you to Veritas Global under that Order in the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Veritas Global Technologies Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, and legal costs arising from: (a) your breach of these Terms; (b) your use of our services in a manner not permitted by these Terms; or (c) your violation of any applicable law or the rights of a third party.

Either party may terminate an Order in accordance with the terms set out therein. Veritas Global may suspend or terminate your access to services immediately for material breach of these Terms, persistent non-payment, or where required to comply with applicable law. Upon termination, all outstanding fees become immediately due and payable.

12.1 Effect of Termination

Following termination, Veritas Global will retain data for any applicable statutory period before securely deleting or anonymising it. You remain liable for all fees incurred up to and including the date of termination.

These Terms are governed by and construed in accordance with the laws of Lagos State, Nigeria (and the Federal Republic of Nigeria where applicable), without reference to conflict-of-law principles.

13.1 Dispute Resolution

The parties will first attempt to resolve any dispute through good-faith negotiation. If a dispute is not resolved within thirty (30) days of written notice, either party may refer the matter to mediation or binding arbitration in Lagos, Nigeria. Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

Veritas Global may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on our website, and will update the "Last Updated" date accordingly. Continued use of our services after the effective date of any revision constitutes your acceptance of the updated Terms. Where changes materially affect the terms of an existing paid Order, we will seek your explicit consent where required by law.

These Terms, together with any applicable Orders, constitute the entire agreement between you and Veritas Global with respect to the services and supersede all prior understandings, representations, or agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign rights or obligations under these Terms without the prior written consent of the other party, except in connection with a merger, acquisition, or sale of substantially all assets.
